Part 1: Introduction

Please read these Terms and Conditions carefully before agreeing to be bound by the same. If you do not agree to be bound by these Terms and Conditions or any part thereof, do not access or use the solarisnetwork.com website.

Solaris and this website, www.solarisnetwork.com is owned and operated by Intelligent Lighting Distributions doing business as Solaris and will herein be referr-ed to as Solaris in reference to the business entity, its owners, operators, personell and holdings and solarisnetwork.com in reference to the website itself. All copyrights, intellectual property rights, licences and materials contained within www.solarisnetwork.com is owned and controlled by Solaris.

1.1: Copyright
Solaris and the entire contents contained on www.solarisnetwork.com, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, are the sole and exclusive property of Solaris and solarisnetwork.com. All such contents and materials are protected by domestic and international copyright and trademark laws. You hereby agree not to modify, copy, reproduce, republish, upload, post, transmit, or distribute any portion of solarisnetwork.com or any contents contained on solarisnetwork.com without the prior expressed written consent of Solaris.

1.2: Limited Licence and Use
Solaris grants you a non-exclusive, non-transferable, limited license to access and make use of the contents or information available on solarisnetwork.com for your personal use and not to download or modify it, or any portion of it, except with the express written consent of Solaris. You may not reproduce, duplicate, adapt, copy, sell, resell, transmit or otherwise exploit for any commercial purpose solarisnetwork.com or any portion of solarisnetwork.com without the express written consent of Solaris. You agree not to interrupt or attempt to interrupt the operation of solarisnetwork.com in any way.

Solaris authorizes you to view and download the information and materials available on solarisnetwork.com only for your personal, non-commercial use. This authorization shall not constitute a transfer of title in and to the materials and you must retain, on all copies of the materials downloaded, all copyright and other proprietary notices contained in the materials. Only upon acceptance of the terms contained herein, you will be entitled to submit electronic purchases. Before any purchase is made through solarisnetwork.com you will be asked to expressly agree to these terms and conditions. Any violation of the terms will result in termination of your account.

1.3: Revisions to Terms and Conditions
Solaris reserves the right to change or modify any of the terms contained in these Terms and Conditions, at any time and for any reason. Any such modifications or changes will immediately become effective upon posting of such changes. Your continued access or use solarisnetwork.com will imply your full acceptance of the same. You are therefore responsible for regularly reviewing these Terms and Conditions and additional terms or notices posted on solarisnetwork.com and you hereby waive any right you may otherwise have to be notified of, or to consent to, revisions of these Terms and Conditions.

1.4: Severability
If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision of these terms and conditions would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

1.5: Third party rights
These terms and conditions are for our benefit and your benefit, and these terms and conditions are not intended to benefit or be enforceable by any third party. The exercise of the parties' rights under these terms and conditions is not subject to the consent of any third party.

1.6: Entire agreement
These terms and conditions, together with our privacy policy, shall constitute the entire agreement between you and us in relation to your use of our website and shall supersede all previous agreements between you and us in relation to your use of our website.

 

Part 2: Disclaimer of Warranty and Limitation of Liability
Solaris and solarisnetwork.com and all related information is provided by Solaris and solarisnetwork.com on an “as is” and “as available” basis. Solaris makes no express or implied warranties, representations or endorsements of any kind or as to the opteration of solarisnetwork.com or the information, content, materials or products included on solarisnetwork.com. You expressly agree that your use of solarisnetwork.com is at your sole risk. To the full extent permissible by applicable law, Solaris disclaims all warranties, expressed or implied, including and without limitation, implied warranties of merchantability and fitness for a particular purpose. Solaris does not warranty that solarisnetwork.com, it’s servers or email sent from solarisnetwork.com are free of viruses or other harmful components. Solaris will not be liable for any damages of any kind arising from the use of solarisnetwork.com including, but not limited to direct, indirect, incidental, punitive or consequetial damages.

2.1: Accuracy and Services
Solaris and solarisnetwork.com uses reasonable efforts to include accurate and up to date information on solarisnetwork.com and assumes no laibility or responsibility for any typographical or other error or omissions in the content of solarisnetwork.com. In the event that a product is listed at an incorrect price or with other incorrect information, Solaris and solarisnetwork.com reserves the right to cancel and reverse any orders placed for the product listed incorrectly.

All reasonable measures are taken to ensure the solarisnetwork.com is live and accessable all day, every day. However, Solaris does not warrant that any service or information on solarisnetwork.com will always remain available for use. Where possible, Solaris will give advanced warning of maintenance or technical issues that may cause down time for solarisnetwork.com Solaris reserves the right to discontinue or alter any or all of solarisnetwork.com information and services, and to stop publishing solarisnetwork.com at any time in our sole discretion without notice or explanation and save to the extent expressly provided otherwise in these Terms and Conditions, you will not be entitled to any compensation or other payment upon the discontinuance or alteration of any website services, or if we stop publishing solarisnetwork.com.

2.2: Applicable Law
By visiting the Website, you agree that the laws of the state of Georgia without regard to principles of conflict of laws, will govern these Terms & Conditions and any dispute of any sort that might arise between you and Solaris.

2.3: Disputes
Any dispute relating in any way to your visit or access of solarisnetwork.com or to the products you purchase through solarisnetwork.com shall be submitted to binding arbitration in Dekalb county, Georgia. Arbitration under these Terms & Conditions shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Conditions of Use shall be joined to an arbitration involving any other party subject to these Conditions of Use, whether through class arbitration proceedings or otherwise.

2.4: Indemnification
Solaris will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control. We will not be liable to you in respect of any business losses, including and without limitation, loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill including any said loss caused by or due to delays in ordering, shipping, stocking or warranty issues from any purchases made on solarisnetwork.com. Solaris will not be liable to you in respect of any loss or corruption of any data, database or software. Solaris will not be liable to you in respect of any special, indirect or consequential loss or damage. By using solarisnetwork.com or by registering an account you accept that Solaris has an interest in limiting the personal liability of our officers and employees and, having regard to that interest, you agree that you will not bring any claim personally against our officers or employees in respect of any losses you suffer in connection with solarisnetwork.com or these Terms and Conditions. Hence, you agree to indemnify, defend and hold harmless Solaris and solarisnetwork.com, its officers, directors, owners, partners, employees, or other personnel.

Certain state laws do not allow for limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions and limitations may not apply and you may have additional rights. However, this exception for certain state laws does not imply that all limitations and exclusions will be void and only those allowed under your state law will apply.

The limitations and exclusions of liability set out in this Section and elsewhere in these Terms and Conditions govern all liabilities arising under these Terms and Conditions or relating to the subject matter of these Terms and Conditions, including liabilities arising in contract, in tort, including negligence and for breach of statutory duty.

Part 3: Licence and Permissions
By using, agreeing to the Terms and Conditions or registering with solarisnetwork.com you are allowed to access or view pages, download pages for web browser cashing, print pages or other information posted to the website, stream any audio or video posted to the website. You may view the prices, products, inventories and product descriptions contained within the website and you may make electronic purchases of said products. You may redistribute our newsletter in print or electronic form to any person or business. You are responsible for using solarisnetwork.com in a private and secure manner. Solaris will not be liable for any damage or loss caused from any unauthorized account access resulting from your actions, such as not logging out of the account or sharing your account login and password. Solaris reserves the right to refuse registration or cancel an account at any time and for any reason.

3.1: Non Acceptable Use
You shall not or permit any other third parties to post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, pornographic, or profane information of any kind, including, without limitation, any transmissions constituting or encouraging conduct that would constitute a fraudulent or criminal offense, give rise to civil liability, or otherwise violate any local, provincial, state, national or international law, including without limitation, export control laws and regulations. You may not use solarisnetwork.com to post, copy, store, host, send, publish, distribute, link to or transmit any information or software that the sender is aware contains a virus, spyware, worm, trojan horse, keystroke logger, rootkit, or any other harmful or malicious software or component or use solarisnetwork.com in any way or take any action that causes, or may cause, damage to the website or impairment of the performance, availability or accessibility to the website. You may not upload, post, publish, transmit, reproduce, or distribute in any way, information, software or other material which is protected by copyright or other proprietary right, without obtaining the permission of the copyright owner or right holder. You are not allowed to share your account, including, without limitation, letting third parties use your account and password. You may not conduct any systematic or automated data collection activities including without limitation scraping, data mining, data extraction and data harvesting on or in relation to our website without our express written consent. You may not access or otherwise interact with our website using any robot, spider or other automated means, violate the directives set out in the robots.txt file for our website or use data collected from our website for any direct marketing activity including without limitation email marketing, SMS marketing, telemarketing and direct mailing or use data collected from our website to contact individuals, companies or other persons or entities. Except as expressly permitted by these terms and conditions, you may not edit or otherwise modify any material on our website.

Except as expressly permitted by Section 2a or the other provisions of these terms and conditions, you must not download any material from our website or save any such material to your computer.

Unless you own or control the relevant rights in the material or have express written permission from Solaris, you may not republish material from solarisnetwork.com including republication on another website, sell, rent or sub-license material from solarisnetwork.com, show any material from solarisnetwork.com in public, exploit material from solarisnetwork.com for a commercial purpose, or redistribute material from solarisnetwork.com.

Solaris reserves the right to restrict access to areas of our website, or indeed our whole website, at our discretion; you must not circumvent or bypass, or attempt to circumvent or bypass, any access restriction measures on our website.

Part 4: Registration and Accounts
It is not necessary to register an account to use most parts of solarisnetwork.com. However, some parts of solarisnetwork.com are only available to registered users. To be eligible for an individual buyer or seller account with Solaris and on solarisnetwork.com you must be at least 18 years of age and fulfill any and all quilifying requirements set out by Solaris. Solaris reserves the right to deny any account registration for any reason and without notification. You may register for an account with Solaris and on solarisnetwork.com by completing and submitting the account registration form which can be found at the link below this section. You must ensure that all the information you supply to us through solarisnetwork.com, or in relation to solarisnetwork.com, is true, accurate, current, complete and not misleading. You must notify us in writing immediately if you become aware of any unauthorised use of your account. You must not use any other person's account to access solarisnetwork.com, unless you have that person's express permission to do so. If you register for an account with Solaris and on solarisnetwork.com you will be asked to choose a user ID and password. Your user ID must not be liable to mislead and must comply with the content rules set out in Section 4.2. You must not use your account or user ID for or in connection with the impersonation of any person. You must keep your password confidential. You must notify us in writing immediately if you become aware of any disclosure of your password. You are responsible for any activity on our website arising out of any failure to keep your password confidential, and may be held liable for any losses arising out of such a failure.

4.1: Account Cancellation
Solaris and solarisnetwork.com reserves the right to suspend your account, cancel your account and/or edit your account details, at any time and for any reason at our sole discretion without notice or explanation. You may cancel your account on solarisnetwork.com by submitting a cancelation request in writting via email to accounts_manager@solarisnetwork.com or by mail by sending it to Solaris Attn: Account Cancelation 1075 Zonolite Rd. Suite 3, Atlanta, GA 30306.

4.2: Content
In these Terms and Conditions, "your content" means all works and materials, including without limitation text, graphics, images, audio material, video material, audio-visual material, scripts, software and files that you submit to us or to solarisnetwork.com for storage or publication on, processing by, or transmission via, solarisnetwork.com. You grant to us a worldwide, irrevocable, non-exclusive, royalty-free licence to use, reproduce, store, adapt, publish, translate and distribute your content in any existing or future media or to reproduce, store and publish your content on and in relation to solarisnetwork.com and any successor website to reproduce, store and, with your specific consent, publish your content on and in relation to solarisnetwork.com. You grant to us the right to sub-license the rights licensed under this Section. You grant to us the right to bring an action for infringement of the rights licensed under this Section. You may edit your content to the extent permitted using the editing functionality made available on solarisnetwork.com. Without prejudice to our other rights under these Terms and Conditions, if you breach any provision of these Terms and Conditions in any way, or if we reasonably suspect that you have breached these Terms and Conditions in any way, we may delete, unpublish or edit any or all of your content.

You warrant and represent that your content will comply with these Terms and Conditions. Your content must not be illegal or unlawful, must not infringe any person's legal rights, and must not be capable of giving rise to legal action against any person in each case in any jurisdiction and under any applicable law. Your content, and the use of your content by us in accordance with these terms and conditions, must not be libellous or maliciously false, obscene or indecent, infringe on any copyright, database right, trade mark right, design right, right in passing off, or other intellectual property right, infringe any right of confidence, right of privacy or right under data protection legislation, constitute negligent advice or contain any negligent statement, constitute an incitement to commit a crime, instructions for the commission of a crime or the promotion of criminal activity, be in contempt of any court, or in breach of any court order, be in breach of racial or religious hatred or discrimination legislation, be in breach of official secrets legislation, be in breach of any contractual obligation owed to any person, depict violence in an explicit, graphic or gratuitous manner, be pornographic, lewd, suggestive or sexually explicit, be untrue, false, inaccurate or misleading, consist of or contain any instructions, advice or other information which may be acted upon and could, if acted upon, cause illness, injury or death, or any other loss or damage, constitute spam, be offensive, deceptive, fraudulent, threatening, abusive, harassing, anti-social, menacing, hateful, discriminatory or inflammatory; or cause annoyance, inconvenience or needless anxiety to any person.

4.3: Account Registration and Payments
When you register an account or make a purchase of any kind or product from Solaris or solarisnetwork.com you agree to pay the full price for all Products you purchase. You are responsible for the timely payment of all fees for all purchases and for providing Solaris or solarisnetwork.com with a valid credit card, wire transfer, check or other payment method details for payment of all fees. No products or items will be shipped until payment has been fully processed and not just received. Solaris reserves the right to use any means to research and perform due diligence to confirm the validity of any form of payment before processing payments and before any items or products will be shipped or delivered to you or your location. Solaris and solarisnetwork.com reserves the right to deny payment from any customer at any time and for any reason and Solaris will not process payments determined to be suspected of fraud or deception and reserves the right to cancel any order associated with any suspected fraudulent or deceptive form of payment and without shipment of any product purchased using said form of payment. Solaris and solarisnetwork.com is not liable or repsonsible for payment authorization holds and delays in returning funds, charge backs or clearing athorizations holds on credit cards processed when ordering products through Solaris or solarisnetwork.com.

4.4: Electronic Communication
When you visit solarisnetwork.com or send any emails to Solaris or solarisnetwork.com, you will be communicating electronically with us. By such electronic communication you agree to receive such communications from us electronically. You acknowledge that your electronic submissions constitute your agreement and your acceptance to be bound by and to pay for such agreements and transactions if applicable. Your agreement and intent to be bound by electronic submissions applies to all transactions you enter into on solarisnetwork.com and all records including notices of cancellation, policies, contracts, and applications.

4.5: Third Party Links
For your convenience solarisnetwork.com may provide links to third party websites operated by other entities and websites. If you use such third party sites, you will leave solarisnetwork.com and you do so at your own risk. It is your responsibility to take all protective measures to guard against viruses or other destructive elements. Solaris does not make any warranty or representation regarding, and does not endorse, any linked websites or the information appearing thereon or any of the products or services described thereon. Any third party links do not imply that Solaris sponsors, endorses, is affiliated or associated with any linked third party websites.

Part 5: Breaches of these Terms and Conditions
Without prejudice to our other rights under these Terms and Conditions, if you breach or if we reasonably suspect that you have breached these Terms and Conditions in any way, we may send you one or more formal warnings, temporarily suspend your access to solarisnetwork.com, permanently prohibit you from accessing solarisnetwork.com, block computers using your IP address from accessing solarisnetwork.com, commence legal action against you, whether for breach of contract or otherwise; and/or suspend or delete your account on solarisnetwork.com.

Where we suspend, prohibit or block your access to solarisnetwork.com or a part of solarisnetwork.com, you must not take any action to circumvent such suspension, prohibition or blocking including without limitation creating and/or using a different account.

Solaris Warranty Information

Disclaimer
Solaris does not offer any warranty or provide technical support for any products directly. All warranties and technical assistance offered for any products are provided by the vendor or seller of the product and all remedies for any issues with equipment sold through Solaris will be sought solely through and provided by the vendor or seller of said product. However, Solaris reserves the right to act as the facilitator of said remedies and will act as a third party mediator on behalf of both the buyer and seller or vendor of any product in order to achieve a reasonable outcome for both parties should any issues with said products arise. Solaris reserves the right to determine reasonable remedies in cases of support and warranty issues and the decision made by Solaris and the Solaris Support Admin staff are final. Solaris reserves the right to withhold the name and contact information of the vendor or seller and the buyer from both parties and offers no guarantee that buyer or seller information will be provided to any parties involved in any warranty or support issue. Failure to comply with remedies determined by the Solaris Support Admin may result in warnings being placed on the account in question or account suspension. When support or warranty issues arise on any sale of any item Solaris reserves the right to withhold payments to vendors indefinitely or until support and warranty issues are resolved. Solaris reserves the right to deduct the cost of any warranty or support issue from the payment to the vendor or to deduct said costs from any future payments to the vendor. Solaris does not offer any guarantee that the time to resolve any warranty or support issues will meet either the buyer or vendors deadlines and offers no remedy, financial or otherwise, for any costs including but not limited to lost income, lost clients, canceled shows or venues or lost time incurred by either party if a deadline is missed.

For Buyers

When does my warranty begin?
Warranties begin the moment the buyer takes possession of the product. For products being delivered this means the warranty will begin on the delivery date. For products picked up by the buyer from a location, the warranty will begin on the date the product is picked up. For multiple products delivered or picked up on different dates, the warranty will begin for each product at the time the buyer takes possession of each part of the order. For example, if a single order is split into two shipments, the warranties for the items in the first shipment will begin when those items are delivered. Whereas, the warranties for the items in the second shipment will not begin until those items are also delivered. In cases where the testing of an item depends on items that are shipped separately or from different vendors, the warranty will begin when the items required for testing are delivered or picked up. All delivery times and warranty start dates are determined by Solaris. Both buyers and vendors may request proof of delivery or warranty start dates.

Buyers must inspect and test all products upon taking possession of the item(s) and within the warranty period. Failure to fully inspect and test any product within the warranty period will result in a voided warranty and no remedy will be offered. Buyers must contact Solaris immediately and within the warranty period for any remedies for any issues found with any products or no remedy will be offered. For example, if an item with a 7 day warranty is delivered on a Thursday, the warranty will begin on that day and the buyer then has 7 business days not including weekends, or by the following Friday, to contact Solaris about any issues. If the Buyer is not able to test the items within the warranty time frame, they must contact Solaris within the warranty time frame to ask for an extension. Extensions are granted by the Vendor and the Vendor is under no obligation to provide an extension to the warranty time frame. Extensions for testing of equipment may be negotiated prior to a sale in cases where the items are too large or numerous to be tested within the stated warranty time frame. These extensions should be given in writing and agreed to by both the Seller and the Buyer.

What is covered by my warranty?
Solaris requires all vendors to offer full warranty coverage and to be able to fulfill and correct any warranty issues by whatever reasonable means laid out in the warranty coverage. Items are required to arrive in the condition stated in the listing for that item and vendors are required to properly package items for shipping according to the standards laid out by Solaris. Two types of warranty coverage are currently offered, Parts and Labor and Parts Only. Vendors are not required in any way to take action beyond the warranty that is offered except in cases where the item is not as described in the listing. In cases where the item is not as described in the listing or if the vendor is not able to fulfill the warranty, Solaris will work with both parties to arrive at a reasonable resolution including, but not limited to the return or exchange of the item.

Warranty coverage applies to any malfunctioning, non-functioning or missing part or item, hardware or software, cosmetic damage either external or internal or anything necessary to the functioning of the item or items included in the listing or as a standard part, piece or accessory included or missing from the item not cause by the buyer, shipper or any person or company handling the item on behalf of the Solaris or the vendor.

Warranties do not cover non-standard parts, pieces or accessories not included in the listing of the item, damages noted in the listing or damages caused by the buyer during testing or set up of the item. Warranties also do not cover damages caused in shipping found not to be the fault of poor or improper packaging on the part of the vendor. Warranties do not cover any improvements to the item not necessary to the functioning of the item for the purpose of increasing the value of an item, minor cosmetic improvements or any improvement to change the condition of the item as stated in the listing.

Damages to items caused by the shipper or any person or company handling the item on behalf of and arranged by Solaris will be covered in full by Solaris or any insurance provider retained by Solaris to cover such damages.

Damages caused by poor or improper packaging on the part of the vendor or caused by any person or company handling the item on behalf of the vendor will be covered by the vendor or any insurance retained by the vendor to cover such damages.

Parts and Labor Warranty
Warranty covers the cost of parts and the labor to test, repair or install the parts including shipping costs of the parts to the buyer’s location or the location of the repair or service center and the cost of return shipping of any defective parts back to the vendor if requested. All parts necessary to the proper function of the item are covered as well as any cosmetic damage as explained above. In cases where the item must be repaired at a repair or service center, Solaris will work with both parties to arrive at the best facility for the repair. The vendor will be responsible for all parts and labor costs incurred by the seller for the repair. Payment may be made directly to the repair or service center or via reimbursement to either the buyer or Solaris depending on the process determined by Solaris.

If it is determined that an item is beyond repair or repairs are too costly, the item may be returned to the vendor for a full refund to the buyer and the vendor will be responsible for any testing fees or costs related to determining the cause of the issue.

A Parts and Labor warranty does not cover the cost of shipping an item to and back from a repair or service center nor will it cover any improvements or upgrades, accessories or additional parts not included in the listing or sale.

Parts Only Warranty

Warranty covers the cost of parts only including the cost of shipping the parts to the buyer or repair location and the cost of return shipping of any defective parts back to the vendor if requested. It will cover the cost of parts if the item is sent to a repair or service center. All parts necessary to the proper function of the item are covered as well as any cosmetic damage as explained above. In cases where the item must be repaired at a repair or service center, Solaris will work with both parties to arrive at the best facility for the repair. The vendor will be responsible for the cost of all parts incurred by the seller for the repair. Payment may be made directly to the repair or service center or via reimbursement to either the buyer or Solaris depending on the process determined by Solaris.

If it is determined that an item is beyond repair or repairs are too costly, the item may be returned to the vendor for a full refund to the buyer and the vendor will be responsible for any testing fees or costs related to determining the cause of the issue.

A Parts warranty does not cover the cost of shipping an item to and back from a repair or service center nor will it cover any improvements or upgrades, accessories or additional parts not included in the listing or sale.

Return Warranty
As of March 1st, 2015, Solaris no longer offers a return only warranty. However, some items may still have a Return Only warranty grandfathered in from past listings.

Warranty covers the cost of return and possible exchange of the item covered. The vendor is responsible for the cost of return shipping of the item and in cases where the item is exchanged the vendor will cover the cost of shipping the replacement item. For exchanges, the vendor may require the defective item to be returned before a replacement is sent. The vendor may also choose to repair the item rather than exchange the item for a different unit. If Solaris determines that the cost of shipping the item or items is greater than the cost of repair, Solaris will work with both parties to arrive at a more cost effective solution.

If an item is returned due to any negligence caused by the vendor, Solaris may seek to recover shipping fees or any other costs that may be lost due to the return and reserves the right to deduct any such fees from the vendors payment or future payments.

A Return Warranty does not cover the cost of exchanging an item due to a buyers mistake in purchasing for any reason or incorrect information provided by Solaris to the buyer about the item.

Manufacturers Warranty
In some cases, items come with a manufacturer's warranty either as a remainder from the original purchase or as part of a b-stock or liquidation item. Coverage for items with Manufacturer's Warranties vary according to each manufacturer. For more information on what is covered by the Manufacturers Warranty the Buyer must refer to the Manufacturer. If the information about the warranty is not readily available from the Solaris website or listing, the Buyer may ask the salesperson or a Solaris Support Admin to provide additional information. If the manufacturer's warranty is applicable to an item, all remedies for support or technical issues must be directed to the Manufacturer of the item. However, the Buyer must contact Solaris before contacting any Manufacturers for support.

Returns, Exchanges and Repairs Not Covered by Warranty
In cases where an item is purchased by mistake and the buyer wants to return the item, it is up to the vendor to decide whether or not to accept the return and the vendor is under no obligation to do so. Solaris reserves the right to charge a processing fee of up to 20% of the cost of the item for non-warranty returns and the vendor may also charge a restocking fee for the return. Refunds on non-warranty returns do not include the cost of shipping or any other fees or charges that Solaris is not able to recover including but not limited to customs duties, taxes, inspection fees, packaging costs, labor costs or any other transportation fees that may be incurred by either the vendor or Solaris.

Visible Shipping Damage Upon Receipt of an Item
If an item arrives with visible damage to the packaging, Buyers should not refuse the shipment. Refusing the shipment may result in additional shipping charges if the item was not damaged. Buyer should ask that the damage be noted on the shipping documents from the shipping company and contact Solaris immediately. Buyer should then document the damage with pictures and notes before unpacking the items. If there is obvious damage to the items, this should be photographed and noted. If the damage appears to be cosmetic, the Buyer may go on to test the items for functionality. If the damage appears to be more extensive than cosmetic and functionality appears to be compromised, this should be noted and communicated to Solaris.

Testing and Repairing Defective Items
Buyer is required to fully test an item within the warranty time frame. If the Buyer is not able to test the items within the warranty time frame, they must contact Solaris within the warranty time frame to ask for an extension. Extensions are granted by the Vendor and the Vendor is under no obligation to provide an extension to the warranty time frame. Testing of an item must be performed by an authorized or skill technician who is familiar with the item being tested. If an authorized or skilled technician is not available or not applicable to an item, testing may be performed by any knowledgeable individual. If a simple issue is found and is easily repairable like a loose screw or a software update, the Buyer may attempt to repair the item. However, any repair attempts made by the Buyer are the full responsibility of the Buyer and any issues that may result from said repairs may void the warranty.

Repairs to items after a warranty or support issue has been reported to and authorized by Solaris must be made by a certified or skilled technician. If the Buyer does not have a certified or skilled technician available on site the item must be sent to a repair or service center. Any on site repairs made by the Buyer are the sole responsibility of the Buyer and any additional repair or support issues that may arise from faulty or improper repairs will not be covered by the warranty. For highly technical repairs, either Solaris or the Vendor reserves the right to request up to date certifications from the Buyer. If the Buyer cannot provide the certification requested, both Solaris and the Vendor reserve the right to have the item sent to a repair or service center.

Buyers may contact the manufacturer for assistance in either testing or repairing an item. However, if manufacturer assistance is required, the Buyer must inform Solaris before contacting the manufacturer for assistance.

Finding a Repair or Service Center
Buyers may not send a unit for repair to a repair or service center before contacting Solaris for approval. Sending an item to a repair or service center without contacting Solaris for approval may result in a voided warranty. All parties, Solaris, the Buyer and the Vendor reserve the right to deny sending an item to any repair or service center for any reason. If the use of a specific a repair or service center is not acceptable for any party a new repair or service center may be proposed by any party until a reasonable location for service is found and all parties agree. If no agreement can be found between the parties, Solaris will make the final decision and all parties are required to comply.

How do I start a warranty claim?
All warranty or support issues must begin by notifying Solaris of the issue immediately upon discovery. Buyer must notify Solaris within the warranty time offered and no action to repair or remedy the issue may be taken by the buyer before contacting Solaris. Any action taken to repair an item or seek remedy for a support issue with an item without contacting and consulting with Solaris may void the warranty.

To start a warranty claim the buyer must contact the salesperson they were working with on the sale via phone or email. If the salesperson is not available, the buyer may contact support directly by calling 404-817-9300 or by emailing your account salesperson. For simple issues the salesperson may handle the issue themselves, but will generally send the issue over to a Support Admin for resolution. But, before doing so, the salesperson will verify the item is under warranty and collect some basic information about the issue. Once the support admin has the issue they will contact the buyer to verify the information is correct and to clarify any questions they might have about the issue. Once they have the information correct the support admin will contact the vendor and explain the issue, asking the vendor for a resolution. From this point on, the support admin will work with both parties to come to a reasonable resolution.

The vendor, salesperson or the support admin may ask for additional information or documentation in the form of images, serial numbers, part numbers, invoices, receipts, shipment tracking or any other documentation deemed necessary to resolve the issue. This information must be provided to Solaris within 2 business days of the request and failure to provide the documentation may result in a voided warranty.

After the Repair or Replacement
Once a part is received, the buyer or repair or service center must repair and test the item within the original warranty time frame. If a repair is going to take more time than the warranty allows, the buyer must inform Solaris of the delay and estimated time frame for the repair and set a deadline. Repairs made by the buyer may not take longer than 14 business days. For items that have been exchanged, the warranty for replacement units restarts upon delivery. For repairs, the warranty will restart at the time the repair is completed and will only cover the part and original issue reported unless the part or issue prevented further testing of the unit.

Items Purchased from Vendors Outside of Solaris
Solaris does not allow Vendors to sell items that are listed with Solaris directly to Solaris buyers in an effort to circumvent the Solaris system. Items purchased by Buyers directly from Vendors without going through Solaris are not warrantied and any issues that may arise from outside purchases are not subject to any remedies or support assistance from Solaris or Solaris Support Admins.


For Sellers or Vendors
Solaris expects the highest possible quality products to be sold by its vendors and does not sell non-functioning or broken items for any reason including items sold for parts. Solaris also expects that all items will arrive in the condition in which they are listed and fully functional. Sellers are expected to package items properly according to the Solaris packaging guidelines and with care to insure they arrive intact and fully operational. Sellers are expected to fully test items before shipping and are encouraged to document the testing and the functioning of the items with images and video if possible. In order to ensure this quality, Solaris requires a minimum 7 day warranty for all items listed. Some older items may still have a 2 day warranty that has been grandfathered in, but 2 day warranties are no longer allowed.

Should issues arise with any items sold by a vendor, Solaris expects the vendor to fully assist the Solaris Support Admin and buyer in achieving a reasonable and timely resolution. Solaris requires that all support issues be settled within 30 days of the issue being reported. Support issues that last longer than 30 days must be approved by a Solaris Support Admin and Solaris may withhold vendor payments past the 30 day term period if support issues are delayed due to Vendor action or inaction. For all support issues, Solaris acts as a mediator between the buyer and the seller and any and all resolutions determined by Solaris and the Solaris Support Admin are final and Solaris expects all Vendors to comply with said resolution. Failure on the part of a Vendor to act in a timely manner as laid out below or to comply with a resolution determined by Solaris or a Solaris Support Admin may result in warning being placed on the Vendors account or termination of the account in some cases. Solaris reserves the right to deduct any costs incurred by Solaris due to any support issues from current or future Vendor payments.

Solaris only recognises warranty information as it is posted to and appears on a listing. Changes to warranty information as posted to invoices, vendor websites or any other location are not recognised by Solaris and any attempt to circumvent the warranty as it appears on a listing by changing the information on an invoice or any other location may be viewed as an attempt to defraud Solaris and it’s customers and may result in payment deductions or account termination.

When does a warranty begin?
Warranties begin the moment the buyer takes possession of the product. For products being delivered this means the warranty will begin on the delivery date. For products picked up by the buyer from a location, the warranty will begin on the date the product is picked up. For multiple products delivered or picked up on different dates, the warranty will begin for each product at the time the buyer takes possession of each part of the order. For example, if a single order is split into two shipments, the warranties for the items in the first shipment will begin when those items are delivered. Whereas, the warranties for the items in the second shipment will not begin until those items are also delivered. In cases where the testing of an item depends on items that are shipped separately or from different vendors, the warranty will begin when the items required for testing are delivered or picked up. All delivery times and warranty start dates are determined by Solaris. Both buyers and vendors may request proof of delivery or warranty start dates.

Buyers are required to inspect and test all products upon taking possession of the item(s) and within the warranty period. If a buyer Fails to fully inspect and test any product within the warranty period the warranty will be voided and no remedy will be required by the vendor. Buyers must contact Solaris immediately and within the warranty period for any remedies for any issues found with any products or no remedy will be required by the vendor. For example, if an item with a 7 day warranty is delivered on a Thursday, the warranty will begin on that day and the buyer then has 7 business days not including weekends, or by the following Friday, to contact Solaris about any issues. Solaris must in turn inform the Vendor of any issues withing 2 business days of being contacted by the Buyer. If the Buyer is not able to test the items within the warranty time frame, they must contact Solaris within the warranty time frame to ask for an extension. Extensions are granted solely by the Vendor and the Vendor is under no obligation to provide an extension to the warranty time frame. Extensions for testing of equipment may be negotiated prior to a sale in cases where the items are too large or numerous to be tested within the stated warranty time frame. These extensions should be given in writing and agreed to by both the Seller and the Buyer.

What warranty coverage are Vendors required to offer?
Solaris requires all vendors to warrant in full all items sold by Solaris and to be able to fulfill and correct any warranty issues by whatever reasonable means laid out in the warranty coverage. Solaris does not allow Vendors to offer partial warranty coverage and all warranties must be full coverage warranties for all items sold by Solaris. Items are required to arrive in the condition stated in the listing for that item and vendors are required to properly package items for shipping according to the standards laid out by Solaris. Vendors have a choice between two types of warranty coverage to offer, a Parts and Labor warranty or a Parts Only warranty. Vendors are not required in any way to take action beyond the warranty that is offered except in cases where the item is not as described in the listing. In cases where the item is not as described in the listing or if the vendor is not able to fulfill the warranty, Solaris will work with both parties to arrive at a reasonable resolution including, but not limited to the return or exchange of the item.

Warranties are required to cover any malfunctioning, non-functioning or missing part or item, hardware or software, cosmetic damage either external or internal or anything necessary to the functioning of the item or items included in the listing or as a standard part, piece or accessory included or missing from the item not cause by the buyer, shipper or any person or company handling the item on behalf of the Solaris or the vendor.

Unless otherwise noted in the listing, vendors are not required to warranty non-standard parts, pieces or accessories not included in the listing of the item, damages noted in the listing or damages caused by the buyer during testing or set up of the item. Warranties are also not required to cover damages caused in shipping found not to be the fault of poor or improper packaging on the part of the vendor. Vendors are not required to Warranty any improvements to the item not necessary to the functioning of the item or for the purpose of increasing the value of an item, minor cosmetic improvements or any improvement to change the condition of the item as stated in the listing.

Damages to items caused by the shipper or any person or company handling the item on behalf of and arranged by Solaris will be covered in full by Solaris or any insurance provider retained by Solaris to cover such damages.

Vendors are responsible for damages caused by poor or improper packaging on the part of the vendor or caused by any person or company handling the item on behalf of the vendor and may retain insurance policies on shipments to cover such damages in cases where Solaris is not handling the shipment or part of the shipment.

Parts and Labor Warranty
Warranty is required to cover the cost of parts and the labor to test, repair or install the parts including shipping costs of the parts to the buyer’s location or the location of the repair or service center and the cost of return shipping of any defective parts back to the vendor if requested. All parts necessary to the proper function of the item must be covered as well as any cosmetic damage as explained above. In cases where the item must be repaired at a repair or service center, Solaris will work with both parties to arrive at the best facility for the repair and vendors may request an item be return to the vendors facility for such repairs. The vendor will be responsible for all parts and labor costs incurred by the seller for the repair. Payment may be made directly to the repair or service center or via reimbursement to either the buyer or Solaris depending on the process determined by Solaris.

If it is determined that an item is beyond repair or repairs are too costly, the vendor may request that the item be returned to the vendor, but will be required to offer a full refund to the buyer and the vendor will be responsible for any testing fees or costs related to determining the cause of the issue.

Vendors are not required to cover the cost of shipping an item to and back from a repair or service center or any improvements or upgrades, accessories or additional parts not included in the listing or sale.

Parts Only Warranty
Warranty is required to cover the cost of parts only including the cost of shipping the parts to the buyer or repair location and the cost of return shipping of any defective parts back to the vendor if requested. Warranty is also required to cover the cost of parts if the item is sent to a repair or service center. Vendors are responsible for the cost of return shipping of the item and in cases where the item is exchanged the vendor must cover the cost of shipping the replacement item. For exchanges, vendors may require the defective item be returned before a replacement is sent. Vendors may also choose to repair the item rather than exchange the item for a different unit. If Solaris determines that the cost of shipping the item(s) is greater than the cost of repair, Solaris will work with both parties to arrive at a more cost effective solution.

Repairs made by a service center are exempt from this time frame, however a reasonable time frame must be quoted and agreed to by both the Buyer and Seller. For items that have been exchanged, the warranty for replacement units restarts upon delivery. For repairs, the warranty will restart at the time the repair is completed and will only cover the part and original issue reported unless the part or issue prevented further testing of the unit.

Items Sold by Vendors Outside of Solaris
Solaris does not allow Vendors to sell items that are listed with Solaris directly to Solaris buyers in an effort to circumvent the Solaris system. Vendors found to be selling items directly to Buyers with the intent of circumventing the Solaris system may have warnings placed on their account or have their account terminated. Solaris will offer no assistance in support issues and will offer no remedies for any warranties on items sold outside the Solaris system and bares no responsibility for any items sold in such a manner.

Solaris understands that Vendors may have items listed for sale on other websites or may sell said items themselves and this is of course allowed. However, during the process of working a support issue, Solaris Support Admins may put a vendor in direct contact with a buyer in order to facilitate clear communication and expedite a resolution. Vendors may not use this contact to solicit further purchases from the client unless the purchase is directly related to the functioning of the item or as a necessary but non-included part of the original sale as it relates to a support issue.

Preventing Warranty and Support Issues
There are a number of things a Vendor can do to help prevent support and warranty issues from arising. Some of these preventative measures are required by Solaris, while others are suggestions. Accurate Listing Information, Testing prior to Shipping and Proper Packaging are all required by Solaris for vendors.

Accurate Listing Information is a a good place to start. Solaris requires that all information posted to Solaris by Vendors be accurate to the best knowledge of the Vendor. Inaccurate listing information can lead to returns, costly repairs and account termination in more serious cases.

Vendors should post images of items that accurately show the condition, any damage, modifications or additions to an item and should never show items or parts not included in the sale. Descriptions should communicate the condition of the item clearly and include any damaged or non-functioning parts, modifications or additions to an item. Descriptions should be clear about what is included and not included with the sale.

Items should be tested before shipping. While this does not guarantee full functionality of an item upon arrival, proper testing of an item prior to shipping may help in differentiating between technical issues and shipping damage. If possible, Solaris suggests retaining a record of the test in some form, via data, images or video. If a test of an item is more than 14 days old or the item has been used since it was tested, a new test must be performed.

Because all Solaris initiated shipments are insured, Solaris requires the proper packaging of items to both insure the item arrives intact or that insurance claims for damages in shipping are credible. If you have questions about the proper packaging of an item, a Solaris Shipping Admin will be happy to assist with packaging instructions. Failure to properly package an item may result in a rejected insurance claim for damages differing financial responsibility for damages to an item to the seller.
